ORLANDO, Fla. - Aug. 22, 2023 – PureCycle Technologies, Inc. (“PureCycle”) (NASDAQ: PCT), today, announced the upsize and pricing of its offering of $215.0 million aggregate principal amount at maturity of 7.25% Green Convertible Senior Notes due 2030 (the “notes”) in a private offering (the “offering”) to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The issuance and sale of the notes is scheduled to settle on August 24, 2023. PureCycle granted the initial purchaser of the notes an option to purchase, for settlement during a period of 13 days from, and including, the date the notes are first issued, up to an additional $35.0 million aggregate principal amount of the notes. Each $1,000 principal amount at maturity of notes will be issued at a price of $900. An amount equal to the difference between the issue price and the principal amount at maturity will accrete from the original issue date through August 15, 2027. The notes will be senior, unsecured obligations of PureCycle and will accrue interest on the principal amount at maturity at a rate of 7.25% per annum from August 24, 2023, payable semi-annually on February 15 and August 15 of each year, beginning February 15, 2024. The notes will mature on August 15, 2030, unless earlier repurchased, redeemed or converted. The aggregate principal amount at maturity of the offering was increased from the previously announced offering size of $200 million (or $230 million if the initial purchaser exercises its option to purchase additional notes in full).

Entities affiliated with Sylebra Capital Management have committed to purchase up to $50.0 million aggregate principal amount at maturity of notes. In addition, our financial advisor has committed to purchase up to $5.0 million principal amount at maturity of notes in this offering.

Holders of the notes may convert all or any portion of their notes at their option at any time prior to the close of business on the second scheduled trading day immediately preceding the maturity date. Upon conversion, PureCycle will pay or deliver, as the case may be, cash, shares of its common stock or a combination of cash and shares of its common stock, at PureCycle’s election. The initial conversion rate is 67.4764 shares of common stock per $1,000 principal amount of notes (equivalent to an initial conversion price of approximately $14.82 per share of common stock), which represents a conversion premium of approximately 50% to the $9.88 per share closing price of PureCycle’s common stock on the NASDAQ Capital Market on August 21, 2023. In addition, following certain corporate events described in the indenture for the notes that occur prior to August 15, 2027 or upon the issuance of a notice of redemption prior to August 15, 2027 for an optional redemption, in each case as described in the indenture for the notes, PureCycle will, in certain circumstances, increase the conversion rate for a holder of notes who elects to convert its notes in connection with such a corporate event or elects to convert its notes called (or deemed called) for optional redemption during the related redemption period.

Holders of the notes have the right to require PureCycle to repurchase for cash all or any portion of their notes on August 15, 2027 at a repurchase price equal to 100% of the principal amount at maturity of the notes to be repurchased, plus accrued and unpaid interest to, but excluding, August 15, 2027. In addition, if PureCycle undergoes a “fundamental change” (as defined in the indenture for the notes), then holders of the notes may require PureCycle to repurchase for cash all or any portion of their notes at repurchase price equal to 100% of the accreted principal amount of the notes to be repurchased, plus accrued and unpaid interest to, but excluding, the applicable fundamental change repurchase date.

Prior to August 20, 2025, the notes will not be redeemable at PureCycle’s option. On a redemption date occurring on or after August 20, 2025 and on or before the 40th scheduled trading day before the maturity date, PureCycle may redeem for cash all or any portion of the notes (subject to certain exceptions and restrictions specified in the indenture for the notes), at PureCycle’s option, if the last reported sale price per share of PureCycle’s common stock has been at least 130% of the conversion price then in effect for a specified period of time. The redemption price will be equal to 100% of the accreted principal amount of the notes to be redeemed, plus accrued and unpaid interest to, but excluding, the redemption date.

PureCycle estimates that its net proceeds from the sale of the notes, excluding any offering expenses, will be approximately $188.8 million (or approximately $219.25 million if the initial purchaser exercises its option to purchase additional notes in full), after deducting the initial purchaser’s discounts and commissions and fees paid to PureCycle’s financial advisor. PureCycle intends to allocate an amount equal to the net proceeds from this offering to the financing and refinancing of recently completed and future Eligible Green Projects (as defined below) in the United States. In particular, PureCycle intends to allocate the net proceeds from this offering to make payments on certain long-lead items and fund initial outside battery limits engineering design work, both associated with a multi-line purification facility to be built in Augusta, Georgia. Pending such allocation, PureCycle intends to use the remaining net proceeds for general corporate purposes.

“Eligible Green Projects” means: (i) investments in acquisitions of buildings; (ii) building developments or redevelopments; (iii) renovations in existing buildings; and (iv) tenant improvement projects, in each case, that have received, or are expected to receive, in the three years prior to the issuance of the Notes or during the term of the Notes, a Leadership in Energy and Environmental Design (LEED) Silver, Gold or Platinum certification (or environmentally equivalent successor standards).

The notes were only offered to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act.
